Terms and Conditions of Sale and Use

1. DEFINITIONS

• Platform: The NoPaperManuals™ service accessible via nopapermanuals.com
• Customer: Any individual or legal entity subscribing to a plan
• End Users: Individuals accessing manuals via QR codes
• Manuals: PDF documents uploaded via the Platform
• QR codes: Codes automatically generated to access manuals

2. PURPOSE

These general terms and conditions define the terms of sale and use of the NoPaperManuals™ Platform, a trademark registered with the French INPI under number 5188191, enabling businesses to digitize their product manuals and make them accessible via QR codes.

2.1 SINGLE-ENTITY USE AND RESALE PROHIBITION

2.1.1 Formal Prohibitions

It is strictly forbidden to:

• Resell or sublease all or part of the service to third parties
• Make available the Platform to other commercial entities (customers, partners, non-owned subsidiaries)
• Host products belonging to other companies or brands
• Use the service as a B2B2C distribution platform or for resale purposes
• Create multiple accounts to circumvent product limits

2.1.2 Authorized Special Cases

Groups and holdings can manage multiple legal entities on a single account ONLY if:

• Capital control exceeding 50% of each hosted entity
• Same VAT identification number OR signed group agreement
• Prior declaration to support with supporting documents (registration certificate, organizational chart, agreement)
• Written validation from our legal department

2.1.3 Sanctions for Violations

2.1.4 Controls and Verifications

We reserve the right to verify data consistency and service usage, including through:

• Analysis of brand and product names vs. subscribing entity
• Monitoring of volumes and unusual usage patterns
• Verification of contact information and email domains
• Request for supporting documents (registration certificate, contracts, legal structure)

For Enterprise accounts (100 products), manual validation may be required at registration, including a phone call and provision of a recent registration certificate (less than 3 months old).

• Automatic QR code generation

3.2 Subscription Plans

4. FINANCIAL CONDITIONS

4.1 Pricing

• Prices are expressed in euros excluding taxes
• Applicable VAT is that in force at the time of billing
• Prices may be modified with 30 days' notice

4.2 Billing

• Monthly or annual billing depending on the chosen plan
• Annual subscription: one-time payment with 17% savings
• Automatic payment via Stripe on subscription anniversary date
• Invoices available in customer area
• Automatic VAT calculation according to current legislation

4.3 Late Payment

• Automatic notifications in case of payment failure
• Service suspension after 3 unsuccessful attempts
• Immediate reactivation after regularization

5. CUSTOMER OBLIGATIONS

5.1 Compliant Use

• Respect the limits of the subscribed plan
• Ensure intellectual property ownership of uploaded manuals
• Maintain confidentiality of access credentials
• Do not use the Platform for illegal purposes or contrary to public morals

5.2 Responsibility for Uploaded Content

5.2.1 Strictly Prohibited Content

The Customer formally commits not to upload content that is:

• Illegal: violating French, European, or international laws
• Harmful to minors: child pornography, content inciting violence against minors
• Terrorist or violent: manufacturing explosives, weapons, incitement to terrorism
• Defamatory or insulting: damaging the honor or reputation of third parties
• Counterfeit: violating intellectual property rights (copyrights, trademarks, patents)
• Discriminatory: racist, xenophobic, homophobic, sexist in nature
• Fraudulent: scams, phishing, spam, deceptive content
• Pornographic or obscene: unless explicitly authorized by law

5.2.2 Customer Guarantees

The Customer guarantees:

• Holding all necessary rights to uploaded content (ownership, license, authorization)
• Having obtained all required authorizations (photographed models, authors, trademark owners)
• That content complies with legislation in countries where it will be accessed
• That technical manuals present no danger to public health or safety

5.2.3 Reporting and Moderation Procedure

Processing Time: NoPaperManuals™ commits to examining any report within 48 business hoursand removing clearly illegal content within 24 hours following confirmation of its illegal nature.

5.2.4 Sanctions for Non-Compliance

In case of illegal content upload, NoPaperManuals™ reserves the right to:

• Immediate removal of content without notice or compensation
• Account suspension during investigation (read-only access maintained)
• Permanent termination of subscription in case of serious or repeated violation
• Log retention for at least 1 year (legal obligation)
• Transmission to authorities (Police, Gendarmerie, Justice) if necessary
• Legal proceedings to obtain compensation for damages

5.2.5 NoPaperManuals™ Liability Exemption

6. NOPAPERMANUALS OBLIGATIONS

6.1 Service Availability

• We are committed to maintaining high service availability
• Scheduled maintenance notified 48 hours in advance by email
• Technical support during business hours (9am-6pm, business days)
• Critical incidents treated as priority according to subscribed plan

6.2 Security and Confidentiality

• Data encryption in transit and at rest
• Daily automatic backups
• Secure access via HTTPS
• GDPR compliance for personal data

7. TERMINATION

7.1 Termination by Customer

• Termination possible at any time via customer area or Stripe portal
• Service stops at the end of the current paid period
• Monthly subscription: Service ends the month following termination
• Annual subscription: Service ends on annual anniversary date
• No pro rata refund for already billed periods
• Data export recommended before termination

7.2 Termination by NoPaperManuals

• In case of non-compliance with terms of use
• Persistent payment default
• 15 days' notice except in cases of force majeure

8. INTELLECTUAL PROPERTY

• The Platform and its technology remain the property of NoPaperManuals
• The Customer retains all rights to their manuals
• License to use granted for the duration of the subscription
• Respect for third-party intellectual property rights

9. DATA PROTECTION

The processing of personal data is governed by our Privacy Policy, compliant with GDPR. Data is hosted in France/EU and is never sold to third parties.

10. LIMITATION OF LIABILITY

• Liability limited to the amount of the annual subscription
• Exclusion of indirect or unforeseeable damages
• Force majeure: events beyond our control
• Backup of important data recommended

11. APPLICABLE LAW AND JURISDICTION

These terms and conditions are governed by French law. In case of dispute, exclusive jurisdiction is attributed to the courts of Paris, after an attempt at amicable resolution.
